1. Plugin Purchases

1.1. Plugin Licensing

The PHP source code of Uncanny Owl plugins is licensed under the GNU General Public License (https://www.gnu.org/licenses/gpl.html) version 2.0 or later (“GPL”). Bundled non-code assets — including, without limitation, images, icons, fonts, documentation, marketing copy, and trademarks — and the Site, License Keys, support, automatic updates, and other hosted Services, are not GPL-licensed and remain proprietary to Uncanny Owl Inc. and its licensors. They are made available to you only under these Terms.

1.2. Plugin Warranty

Plugins sold and distributed by Uncanny Owl Inc. are done so in the hope that they will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.

Inasmuch as WordPress functions correctly on a clean install of itself, our plugins are guaranteed to function on a clean install of the minimum, stable and required version of WordPress for Uncanny Owl plugins. Because the number and variety of plugins is vast and wide, we do not guarantee that the plugin will function with all third-party plugins, themes or browsers of any kind. We do not assume responsibility and will not be held responsible for any conflicts or compatibility issues that may occur due to third-party software. We assume no responsibility for any data loss as a result of installing or using Uncanny Owl plugins. Should conflicts occur with third-party software, we may provide support at our discretion.

1.3. Plugin Support

We sell our plugins “as is” — they may not do exactly what you want, and they may not play nicely with every theme or third-party plugin out there.

Support is only available if you have an active, paid plugin license.

Support and updates are included for one year from your original purchase. After that, you’ll need to renew to keep receiving them. If your purchase includes an auto-renewing Subscription, support continues for as long as your Subscription is active.

We try our best to help, but we can’t promise we’ll answer every question to your full satisfaction or within a specific timeframe.

1.4. Automatic Updates

Automatic updates are available as long as you have an active Subscription and a valid License Key.

1.5. Plugin Delivery

Once your payment goes through, you’ll get an email with your order number and purchase details. Your License Key and plugin downloads live in your account area — log in any time to access them.

If the email doesn’t show up, just email us and we’ll resend your purchase info.

You can re-download purchased files as long as your License Key is valid. If it expires, download access pauses until you renew.

1.6. Plugin Ownership

The PHP source code of our Plugins is distributed under the GPL (see §1.1). All other components of the Services — including the Site, our SaaS components, License Keys, the Uncanny Owl and Uncanny Automator names, logos, brand designs, support content, knowledge base, and documentation — are proprietary to Uncanny Owl Inc. or its licensors, and may not be copied, redistributed, sublicensed, or used to create derivative works except as expressly permitted by these Terms or applicable law. Claiming intellectual or exclusive ownership rights of these components is prohibited.

Subject to §5, our Services are otherwise provided “as is” without warranty of any kind, express or implied, and we shall not be liable for any damages arising from use of, or inability to use, our Services.

1.7. Site & Hosted Content

All non-code content on the Site and in our hosted Services — images, documentation, knowledge-base articles, marketing copy, and so on — belongs to Uncanny Owl Inc. (or is used under license), and you can’t redistribute it without our written permission. None of this affects the rights you have to the Plugin source code under the GPL.

1.8. Plugin Refund Policy

If you’re unhappy with your purchase, or there’s an issue we can’t fix that makes the Plugin unusable, we’ll consider a refund.

Refunds are at our discretion and must meet all of these conditions:

  • You request the refund within 14 days of the initial purchase. No refunds are granted after 14 days.
  • The purchase is not a Subscription renewal. No refunds are granted on Subscription renewals. We send a renewal reminder before each auto-renewal so you have time to cancel.
  • For AI + Automation plans: at the time of your refund request, you have used no more than 5% of your plan’s Uncanny Agent usage allowance during the current billing period. AI + Automation plans on which Uncanny Agent usage exceeds this threshold are not refundable.
  • Add-on Uncanny Agent usage packs are non-refundable once any portion of the pack has been consumed.
  • You have not previously received a refund on an Uncanny Automator purchase. A maximum of one refund will be provided per customer. If you make a purchase, receive a refund, and later purchase again, the subsequent purchase is not refund-eligible.

EU/UK consumers. If you are a consumer resident in the European Economic Area or the United Kingdom, you ordinarily have a 14-day right of withdrawal for digital-content purchases unless you expressly waive that right. By purchasing the Plugin and downloading it or activating your License Key, you expressly request immediate provision of the digital content and acknowledge that your statutory right of withdrawal will be lost upon download or activation.

By purchasing from our Site, you agree to this refund policy and waive any right to challenge it through questions, judgment, or legal action, except as required by applicable consumer-protection law.

1.9. Account Access & License Use

You can’t sell, rent, share, or transfer your access to the Site or your Plugin License Key. We may cancel any License Key that’s shared, sold, or transferred.

1.10. Discounts and Auto-Renewal

We sometimes offer introductory discounts. These apply only to the first term of your Subscription — once that term ends, you’ll be charged the regular price. Each customer gets one introductory discount, and discounts don’t apply to renewals.

Auto-renewal. Unless your plan is described as a one-time purchase, your Subscription will renew automatically at the end of each term, at the then-current renewal price, using the payment method on file, until you cancel. We’ll email you a reminder before each renewal. You can cancel auto-renewal anytime before the renewal date from your account dashboard at automatorplugin.com or by contacting support — cancellation takes effect at the end of the current billing term, and you’ll keep access to the Services until then. By subscribing, you authorize us to charge your payment method on each renewal.

1.11. Uncanny Agent

Uncanny Agent is also covered by the additional terms in §9 (Uncanny Agent) below. Those terms apply on top of the rest of these Terms, and if there’s any conflict specifically about Uncanny Agent, §9 wins.

1.12. Account, Credentials & Security

Some Services require an account. When you create one, you agree to: (a) give us accurate, current, complete information; (b) keep your login and License Key confidential; (c) take responsibility for everything that happens under your account; and (d) tell us right away if you suspect unauthorized access. We may require extra authentication (like MFA) at our discretion. You can close your account anytime by contacting support — we’ll keep certain records where legal, tax, accounting, fraud-prevention, or audit obligations require it.

2. Email

We may occasionally email you about your purchase, and we may send you the odd newsletter with Uncanny Owl updates, promotions, and product news. We’ll never sell or share your email with third-party vendors. You can opt out of these emails anytime.

3. Modifications to Service and Pricing

We can modify, change, cancel, or upgrade any Service, Subscription, or License Key, and prices may change at any time.

4. Usage Limits

Some app integrations send or receive data through an API server. Requests to that server are subject to these limits:

  • X/Twitter: 5 per 24 hours using the Automator Twitter app or 100 per 24 hours using your own app
  • Google Sheets, Facebook Pages, Facebook Groups, Instagram: 80 per minute
  • Limit across all app integrations: 240 per minute

Requests over these limits may be blocked.

Uncanny Agent has its own usage allowances and request limits, which vary by plan tier and are described on our pricing page and in-product. We may update these limits from time to time. If you exceed them, your requests may be throttled or blocked; if you use up your plan’s monthly allowance, you can upgrade or buy an add-on usage pack — see §9.1.

5. Limitation of Liability

Service availability. Uncanny Owl reserves the right to modify, suspend, or discontinue any Service, in whole or in part, at any time. Where reasonably practicable, we will provide notice of material changes (see §3); for security, legal, or risk reasons, we may act without notice.

Disclaimers. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNCANNY OWL OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

6. Acceptance of Terms

You accept these Terms when you (a) buy any Service, (b) create an account, or (c) access or use the Services. If you’re accepting on behalf of a business or organization, you confirm you have authority to bind it — and “you” includes both you and that entity.

We may update these Terms occasionally. The “Last updated” date at the top tells you when the current version took effect. If you keep using the Services after a change, that counts as accepting the updated Terms.

These Terms include our Privacy Policy and the Acceptable Use Policy in §10 by reference.

7. Affiliates

When you sign up for the Uncanny Automator affiliate program, you agree to the affiliate terms below. We may update them from time to time, and we’ll give you reasonable advance notice of material changes by email or through the affiliate dashboard. If you stay in the program after a material change takes effect, that counts as accepting it. Breaking any affiliate term may result in termination of your account and forfeiture of any outstanding commissions earned during the period of the violation.

7.1. Affiliate Terms

  1. You must be 18 years or older to participate.
  2. You must be a human.
  3. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
  4. Your login may only be used by one person. You are responsible for maintaining the security of your account.
  5. One person or legal entity may not have more than one account.
  6. Payments will only begin once you’ve earned more than $100 in affiliate income. If your account never reaches $100, your commissions will not be paid.
  7. You may not misrepresent your relationship with Uncanny Owl or the Uncanny Automator plugin. You may not say you developed the product, say you are part of Uncanny Owl, or imply any relationship or affiliation with us except as an affiliate.
  8. You may not purchase products through your affiliate links for your own use.
  9. You may not promote a coupon that is branded specifically to another party.
  10. You may not bid on phrases implying that coupon codes for Uncanny Automator are available.
  11. You may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly marked link, button, or image for that particular coupon or deal. Your link must send the visitor to the merchant site.
  12. The user must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e., “click here to see coupons and open a window to merchant site” is NOT allowed).
  13. Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.
  14. No PPC ads without prior written permission.

Affiliates earn 25% of the plugin cost on new annual product sales. Commissions are paid monthly, with a 30-day waiting period after each sale — so January commissions, for example, get paid in March.

We pay commissions by PayPal only — you’ll need a PayPal account to receive yours.

Uncanny Owl, in its sole discretion, has the right to suspend or terminate your account for any reason at any time.

Uncanny Owl is not liable for indirect, special, or consequential damages arising in connection with this agreement or the affiliate program.

8. AI-Assisted Services

Our AI-assisted Services — including Uncanny Agent — are subject to the additional terms in §9 below. Those terms apply on top of the rest of these Terms, and if there’s a conflict specifically about AI-assisted Services, §9 wins.


9. Uncanny Agent

These terms apply to your use of Uncanny Agent and are in addition to the rest of these Terms. Capitalized terms not defined in this §9 have the meanings given in the Definitions section above.

9.1. Availability

Uncanny Agent is available to holders of an active Uncanny Automator AI + Automation Pro plan, or other users that have been provided with an allocation of Uncanny Agent usage. Each AI + Automation plan includes a usage allowance for Uncanny Agent; allowances vary by plan tier and are described on our pricing page and in-product. If you exhaust your plan’s allowance, you may upgrade to a higher AI + Automation plan or purchase an add-on usage pack to continue using Uncanny Agent until your next billing cycle. Uncanny Automator Pro Legacy plans are automation-only and do not include access to Uncanny Agent, except through special one-time allocations such as loyalty or promotional bonuses that may be awarded at our discretion. Availability of specific features, models, and integrations may change over time.

Uncanny Agent may be unavailable from time to time while we make changes, do maintenance, or work through issues with our underlying providers. There’s no service-level agreement for Uncanny Agent — see §12 (Service Availability).

We reserve the right to limit, suspend, or discontinue any user’s access to Uncanny Agent at our sole discretion, including (without limitation) for breach of these Terms, suspected abuse, or to comply with applicable law. Where we limit, suspend, or discontinue a user’s access to Uncanny Agent under this §9.1, we will also cancel that user’s Uncanny Automator license, and may provide a refund at our sole discretion. This §9.1 applies notwithstanding §1.8.

9.2. Privacy and Data Use

Uncanny Agent works with the data you give it through the chat interface and the data it collects from your site to do what you ask. It doesn’t access anything outside that scope.

How we use your conversations. We may review and sample your Inputs and Outputs to operate, secure, troubleshoot, and improve Uncanny Agent — including for internal evaluation, quality assurance, prompt iteration, and red-teaming. We do not use your Inputs or Outputs to train, fine-tune, or otherwise develop machine-learning models, and we do not use them to build retrieval indexes or training datasets. Where Uncanny Agent uses third-party AI providers (see below), those providers process your Inputs under their own commercial enterprise terms; we contract for “no training on customer data” terms with our providers.

You may delete your Uncanny Agent conversation history at any time from within the product, or by emailing [email protected]; deletion requests are processed within 30 days. We may retain a minimal record of the fact that a conversation occurred (without its contents) where required for legal, tax, accounting, fraud-prevention, or audit purposes.

Third-party AI providers. To provide Uncanny Agent’s functionality, your Inputs and related data may be transmitted to third-party AI service providers for processing. We may use any of the following AI service providers: Anthropic (Claude), Google Cloud Vertex AI, Amazon Web Services (Bedrock), and DeepInfra, each under their commercial enterprise terms. Under those terms, none of these providers uses your Inputs or Outputs to train their foundation models, and data is retained only for the limited periods needed to operate the service and meet abuse-monitoring or legal-compliance obligations. The current list of subprocessors, with links to each provider’s terms and privacy policy, is published on our subprocessors page (see §11).

Conflict. Your use of Uncanny Agent is also subject to the terms and policies of these third-party providers. In the event of a conflict between these Terms and any third-party terms, these Terms govern your relationship with Uncanny Owl Inc., but you remain independently responsible for compliance with applicable third-party terms.

9.3. Using Uncanny Agent

Age Requirement

You need to be at least 18 (or the age of majority where you live) to use Uncanny Agent. If you’re between 13 and 18, you can only use it with a parent or legal guardian who agrees to these Terms on your behalf. Uncanny Agent isn’t for anyone under 13.

What You Can Do

As long as you follow these Terms, you can access and use Uncanny Agent. While using it, you need to follow all applicable laws and the Acceptable Use Policy in §10.

What You Cannot Do

Don’t use Uncanny Agent for anything illegal, harmful, or abusive. Specifically, you may not:

  • Use Uncanny Agent in a way that infringes, misappropriates, or violates anyone’s rights.
  • Modify, copy, lease, sell, or distribute Uncanny Agent.
  • Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of Uncanny Agent, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
  • Automatically or programmatically extract data or Output.
  • Represent that Output was human-generated when it was not.
  • Interfere with or disrupt Uncanny Agent, including circumventing any rate limits, restrictions, protective measures, or safety mitigations.
  • Use Output to develop services that compete with Uncanny Automator or Uncanny Agent.
  • Use Uncanny Agent to generate spam, malware, phishing content, or other malicious material.
  • Use Uncanny Agent to generate content that exploits or harms minors.
  • Use Uncanny Agent to generate deceptive content intended to mislead others about its AI-generated nature where disclosure is required by law.
  • Attempt to extract, replicate, or probe the underlying AI models or their training data.

High-risk uses prohibited. You may not use Uncanny Agent or any Output as the sole or material basis for decisions that have a legal or similarly significant effect on a person, including decisions about credit, employment, education, housing, insurance, immigration, public benefits, legal rights, or medical diagnosis or treatment. You are solely responsible for ensuring that any decision-making in these areas involves appropriate human review and qualified professional input.

Feedback

We love getting feedback. You agree we can use it freely, without restriction or paying you. Send feedback through our standard support form or any in-product feedback channel we make available.

9.4. Content

Your Content

You may provide input to Uncanny Agent (“Input”) and receive output from Uncanny Agent based on the Input (“Output”). Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to Uncanny Agent.

Ownership of Content

As between you and Uncanny Owl Inc., and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Similarity of Content

Due to the nature of Uncanny Agent and artificial intelligence generally, Output may not be unique, and other users may receive similar Output from Uncanny Agent. Our assignment above does not extend to other users’ output.

Our Use of Content

We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe. Our use of Content for these purposes is further described in §9.2 (Privacy and Data Use). Our third-party AI service providers may process, temporarily store, or use Content in accordance with their respective terms of service and privacy policies, which may include using Content for safety monitoring, abuse prevention, and service improvement unless you have opted out where such options are available.

Accuracy

Artificial intelligence and machine learning are rapidly evolving fields. We are constantly working to improve Uncanny Agent to make it more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of Uncanny Agent may, in some situations, result in Output that does not accurately reflect real people, places, or facts. When you use Uncanny Agent, you understand and agree:

  • Output may not always be accurate. You should not rely on Output as a sole source of truth or factual information, or as a substitute for professional advice.
  • You must evaluate Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Output.
  • Uncanny Agent may produce incomplete, incorrect, or offensive Output that does not represent Uncanny Owl Inc.’s views. References to third-party products or services in Output do not imply endorsement or affiliation.
  • Uncanny Agent relies on third-party AI models whose behaviour and outputs are outside our direct control. We do not guarantee the availability, accuracy, or suitability of these underlying services.
  • Restrictions on high-risk uses of Output are set out in §9.3.

9.5. Our IP Rights

We and our affiliates own all rights, title, and interest in and to Uncanny Agent.

9.6. Termination and Suspension

You can stop using Uncanny Agent anytime. We can suspend or terminate your access at our sole discretion, including if we determine:

  • You breached these Terms.
  • We must do so to comply with the law.
  • Your use of Uncanny Agent could cause risk or harm to Uncanny Owl Inc., our users, or anyone else.

Where we suspend or terminate your access to Uncanny Agent, the consequences set out in §9.1 (including cancellation of your Uncanny Automator license and any discretionary refund) apply. We will not owe you a refund where the suspension or termination is due to your breach, abuse, or unlawful use of the Services.

9.7. Discontinuation of Services

We may decide to discontinue Uncanny Agent. If we do, we’ll give you reasonable advance notice and refund: (a) the unused portion of your current AI + Automation subscription term on a pro-rata basis, and (b) any unused, unconsumed add-on usage packs you bought in the preceding 12 months. Partially or fully consumed packs aren’t refundable.

9.8. Indemnity

If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel from and against any costs, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of any third-party claim arising out of or relating to your use of Uncanny Agent and Content or any violation of these Terms.

9.9. Site Responsibility and Agentic Actions

With your authorization, Uncanny Agent can take actions on your WordPress site or connected third-party services on your behalf — reading data, creating or changing recipes, configuring integrations, and so on. You acknowledge and agree that:

  • You are responsible for the configuration, security, and maintenance of your WordPress site (including backups), and for the third-party accounts you connect to Uncanny Agent.
  • Actions taken by Uncanny Agent at your request are taken as your agent, and you are responsible for the consequences of those actions, including any costs, charges, or third-party effects.
  • We strongly recommend backing up your site before authorizing Uncanny Agent to make significant changes.
  • Subject to §5 (and except to the extent caused by our gross negligence or willful misconduct), we are not liable for losses (including data loss, configuration loss, or third-party fees) resulting from Uncanny Agent acting on your instructions.

9.10. AI Output and IP Claims

You acknowledge that you are responsible for the Output you choose to use or publish, and that the assignment of Output to you in §9.4 is provided “as is,” without representation or warranty as to non-infringement of any third-party rights. We do not provide a defense or indemnity for third-party claims arising from your use of Output; your responsibility for Content under §9.4 and your indemnification obligations under §9.8 apply.


10. Acceptable Use Policy

You agree not to use any Service to:

  • Violate any law, regulation, or third-party right.
  • Harass, abuse, defame, threaten, or otherwise harm any person.
  • Send spam or unsolicited commercial messages.
  • Distribute malware, viruses, or other malicious code.
  • Attempt to gain unauthorized access to any system, account, or data.
  • Probe, scan, or test the vulnerability of any system or network without authorization.
  • Interfere with or disrupt the integrity or performance of the Services or the data they contain (including by excessive request volume, bot traffic, or abusive automation outside disclosed limits).
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the non-GPL components of the Services, except to the extent that this restriction is prohibited by applicable law.
  • Misrepresent your identity, affiliation, or authority.
  • Use the Services to build a competing product, or to scrape data for that purpose.
  • Configure Automator recipes that violate any third-party platform’s terms of service.

We may investigate suspected violations of this §10 and respond as we see fit, including by suspending or terminating access (see §5, §9.1, and §9.6).

11. Privacy and Data Processing

Our Privacy Policy covers how we collect, use, and share personal data. This §11 adds to the Privacy Policy specifically for the Services.

Roles. Where you use the Services to process personal data of your end users — for example, when Automator handles your customers’ data, or when Uncanny Agent reads data from your site — you act as the controller (or business) and we act as the processor (or service provider) with respect to that personal data. You are responsible for having a lawful basis to process that data and for providing any required notices and obtaining any required consents.

Data Processing Addendum. A DPA is available if you need one — for example, if you handle data from EEA, UK, California, or Quebec residents. Visit https://automatorplugin.com/gdpr-dpa/ to generate a copy.

Subprocessors. We use the subprocessors listed at our subprocessors page.

Data-subject rights. Subject to applicable law, individuals may request access to, correction of, deletion of, restriction or objection to processing of, or portability of their personal data by contacting us at [email protected]. We will respond within the timeframes required by applicable law.

Security. We implement and maintain commercially reasonable administrative, technical, and physical safeguards designed to protect personal data against unauthorized access, use, alteration, and disclosure. No system is perfectly secure, and we do not warrant that the Services will be uninterrupted, error-free, or invulnerable.

12. Service Availability

We don’t provide a service-level agreement or uptime guarantee for any Service. We’ll use commercially reasonable efforts to keep things up and running, but downtime, latency, errors, and outages happen — and (except as required by law or as expressly stated in §9.1, §9.6, or §9.7) those aren’t refundable.

13. Beta and Early-Access Features

We may from time to time make features, products, or Services available on a beta, alpha, preview, early-access, or evaluation basis (“Beta Features”). Beta Features are offered “AS IS,” without any warranty, support commitment, service level, or uptime guarantee, and we may modify or discontinue them at any time. We may terminate access to a Beta Feature at any time without liability. The §1.8 refund rules don’t apply to Beta Features unless we agree otherwise in writing. The fact that Uncanny Agent is generally available doesn’t change this §13 for other features.

14. Export Controls and Sanctions

You represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive sanctions administered by the Government of Canada, the United States, the United Kingdom, the European Union, or the United Nations Security Council; (b) you are not a person identified on any list of restricted or prohibited persons maintained by any of those authorities; and (c) you will not use the Services in violation of any applicable export-control or sanctions law. We may suspend or terminate your access to the Services if we determine that your use breaches this §14.

15. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. The courts located in Toronto, Ontario have exclusive jurisdiction to hear any dispute arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.

16. General

Force majeure. Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, labour disputes, internet or telecommunications failures, third-party service outages, and pandemics.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent; any attempted assignment in violation of this section is void. We may assign these Terms (in whole or in part) without your consent, including in connection with a merger, acquisition, sale of assets, or by operation of law.

Notices. We may give you notices by email (to the address on file with your account), through the Site, or via your account dashboard. Send legal notices to us at [email protected].

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Entire agreement. These Terms (together with the policies they incorporate by reference and any order form or written agreement we sign with you) constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous understandings on that subject.

Survival. The following Sections survive termination or expiration of these Terms: §1.6, §1.7, §1.8 (with respect to completed transactions), §1.12, §3 (final sentence with respect to refunds for cancelled material changes), §5, §6, §9.4, §9.5, §9.7, §9.8, §9.9, §9.10, §10, §11, §14, §15, §16, and §17, along with any other provision that by its nature should survive.

17. Severability

If any part of this Agreement is found unenforceable or invalid, that part will be modified to the minimum extent needed to make it enforceable, and the rest of the Agreement remains in effect.
